Terms
These terms govern the use of this website and set out the framework on which we take on advertising work. They are written to be read, not to be survived.
01Who these terms are with
This website and the services described on it are provided by OÜ ADLUMEN, registry code 17533350, a company registered in Estonia and trading as Adlumen Ad Agency ("we", "us"). "You" means the visitor to this site or, where an engagement exists, the advertiser we work for.
02What these terms govern
Sections 3 to 5 apply to anyone who uses this website. Sections 6 to 16 describe the framework on which we take on work, so that what the site promises and what a contract says do not drift apart.
03Using this website
You may read this site, and quote or print reasonable extracts for your own business purposes with attribution. You may not copy the site or substantial parts of it for resale, scrape it at a scale that burdens our hosting, attempt to gain access to anything not published, or use it to do anything unlawful.
We aim to keep the site available but do not promise uninterrupted access. We may change, suspend or withdraw any part of it at any time.
04The figures we publish
The case figures and cost per paid activation published on this site are historical results of specific campaigns over a stated period, measured as of the date shown alongside them. They are not a representative sample, and past performance does not indicate future results.
We state the measurement date on the page and refresh the figures periodically. Where a figure is described as an estimate, a target or a benchmark, it is exactly that.
05Sending a brief
Sending a brief costs you nothing and commits neither of us. It is an invitation for us to prepare a media plan and a forecast.
We may decline any brief without giving reasons, and we do decline work regularly — including where we do not believe the target you have set is reachable on your product. We will tell you when that is our view rather than take the budget and find out later.
You confirm that the information in a brief is accurate and that you are authorised to give it to us.
06What we do
Depending on what the signed agreement covers, our work includes:
- Media buying — planning, launching, testing and optimising campaigns across the advertising platforms named in the agreement, and reporting spend, results and cost per result each working day;
- Creative and landing pages — producing and refreshing advertising creative and landing pages for your product, and setting up tracking, including the transfer of offline conversions where you provide them;
- Reporting — daily figures and cohort reporting on the basis described in the agreement.
We choose how the work is carried out and which of our people do it. We may use subcontractors and remain responsible for their work as if it were our own.
07Budget, fee and payment
- The advertising budget is paid in advance and is spent on media. We apply no mark-up to it.
- Our fee is a separate line, agreed in writing before any campaign starts. It is not deducted from the advertising budget.
- Budget that has not been spent when an engagement ends is returned to you, or applied to the next period if you prefer, less any fee and third-party costs already incurred.
- Payment due dates, any applicable interest and the right to pause work for overdue invoices are stated in the signed service agreement.
- Amounts are stated exclusive of VAT, which is added where it applies.
- Currency, payment method and invoicing entity are set out in the agreement.
08Targets are targets
A target cost per result agreed with you is the figure we optimise toward and report against. It is not a guarantee. We do not promise a volume of results, a cost per result, a return on ad spend or a payback period, and any forecast we give you is our honest estimate on the information available at the time.
What we do commit to is telling you early. If a test shows the target is not reachable on your product, you will hear it from us in the first weeks — with the figures behind that view — so that you can change the target, the offer or the market before a large budget is committed.
09What we need from you
To do the work we need you to:
- give us accurate information about the product, the offer and the economics behind your target;
- hold the rights to everything you give us — brand assets, images, text, trade marks — and let us use them for the campaigns;
- make sure the product, the claims made about it and your own website comply with the law in every market where it is advertised, including consumer protection, advertising and data protection law, and, for subscription products, the rules on renewals, cancellation and disclosure;
- provide the access required for tracking and conversion measurement, and keep it working;
- answer approval requests within a reasonable time — campaigns wait when they go unanswered.
You remain responsible for your product and for what you say about it. We rely on what you tell us and do not independently verify it.
10Work we do not take
We work with lawful, transparent products only. We do not take gambling, adult content, or offers that mislead the people who see them, and we do not work with Russia. We may refuse or stop work that falls into these categories at any point, including after an agreement is signed, and doing so is not a breach on our part.
11The platforms decide their own rules
Campaigns run on platforms we do not own. Meta, Google, TikTok, Bigo, Unity and any other platform set and enforce their own advertising policies, approve or reject creative, and may restrict delivery or suspend activity at their discretion and without notice to us.
We work within those policies and we will tell you promptly when a decision affects your campaigns. We are not liable for the decisions of a platform, for rejections, for delivery restrictions or for the consequences of a platform changing its rules, its products or its pricing.
12Intellectual property
What we make for you. Creative and landing pages produced specifically for your campaigns, together with the campaign data, transfer to you once the work has been paid for. You can export the data, including the raw daily figures, during the engagement and for any period stated in the signed service agreement.
What stays ours. Our methods, templates, internal tools, reporting formats, benchmark data and anything we developed before or outside the engagement remain ours. Aggregated, anonymised performance data may be used to improve our work and to publish benchmarks, in a form from which you cannot be identified.
What stays yours. Your brand, your product and everything you give us remain yours. You grant us a licence to use those materials for the purposes of the engagement, and — unless you tell us otherwise in writing — to name you and describe the work in our case studies and proposals.
This website. Its text, design, code and figures belong to us or our licensors.
13Confidentiality
Each of us will keep the other's non-public information confidential, use it only for the engagement, and disclose it only to people who need it and are themselves bound to confidentiality. This does not apply to information that is public through no fault of the receiver, was already known, is developed independently, or must be disclosed by law — and in that last case the discloser is told first, where that is lawful.
These obligations continue after the engagement ends for as long as the information remains confidential, subject to the exceptions above and any different period in the signed service agreement.
14Data protection
How we handle personal data is described in our Privacy Policy.
Where we process personal data on your behalf — conversion records and audience data are the usual case — you are the controller and we are the processor. A data processing agreement under Article 28 of the GDPR is concluded before any such data is exchanged, and it forms part of the engagement. You are responsible for having a lawful basis for the data you pass to us and for the notices given to the people it concerns.
15Liability
Neither of us excludes liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be excluded.
Subject to that:
- neither of us is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill, anticipated savings or data;
- any agreed limit on our total liability is stated in the signed service agreement. The advertising budget is money spent on media on your instruction and is not our fee;
- we are not liable for the performance of campaigns as such, for platform decisions, or for losses arising from information you gave us that was inaccurate or incomplete.
Claims are subject to the limitation periods provided by applicable law.
Neither of us is liable for a failure caused by something outside our reasonable control, including platform outages, payment-system failures, war, sanctions or acts of a public authority.
16Ending an engagement
The signed service agreement sets out how either party may end an engagement. If it does not address a situation, applicable law governs.
On termination: campaigns are paused in an orderly way, fees and third-party costs incurred up to that point fall due, unspent budget is returned, and each of us returns or deletes the other's confidential information on request. Sections 12 to 15 and 18 survive.
17Changes to these terms
We may change these terms. The version number and dates at the top show the current text, and the version in force when you sent your brief is the one that applies to that brief. Changes do not alter a signed agreement, which can only be varied in the way that agreement provides.
18Law and disputes
These terms and any engagement are governed by the law of the Republic of Estonia, without regard to its conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
If something goes wrong, tell us — most things are settled in a phone call. Where a dispute cannot be resolved between us, it is submitted to Harju County Court in Tallinn, Estonia.
If any provision of these terms turns out to be unenforceable, the rest continues in force and the unenforceable part is read down to the extent needed to make it valid.
